Profile
Eugene is the Managing Partner of Gan & Lee, where he leads the firm’s Corporate & Commercial and Capital Markets Practice. He graduated with an LLB (Hons) and an MSc in Law and Finance from Queen Mary University of London, and completed the Bar Professional Training Course (BPTC) in the UK. A member of Lincoln’s Inn, he was called to the Bar of England & Wales in 2018 and admitted as an Advocate and Solicitor of the High Court of Malaya in 2019. Before co-founding Gan & Lee, Eugene was a Senior Associate at Cheang & Ariff, a member firm of WPG, a regional law network established by WongPartnership LLP.
His key practice areas include capital markets, mergers & acquisitions (M&As), securities regulation, and general corporate advisory. He regularly acts for private and public companies, financial institutions, and private equity funds on M&As, takeovers, privatisations and fundraising exercises, as well as corporate and commercial matters.
Eugene has extensive experience advising on public and private M&A transactions, both domestic and cross-border. He also has significant experience in capital markets transactions, including IPOs on the Main, ACE and LEAP Markets of Bursa Malaysia Securities Berhad, and listings on the Singapore Stock Exchange and the Hong Kong Stock Exchange. In addition, he has advised on rights issues, warrants issues, share subscriptions, private placements and employee share schemes.
Apart from transactional work, Eugene advises clients on establishing businesses in Malaysia, as well as on regulatory and compliance matters across industries including F&B, consumer goods, distributive trade, manufacturing, logistics, property development, financial services, healthcare, education, cryptocurrency, payment systems, and electronic trading platforms.

- Advised an F&B and consumer goods group listed on the Main Market of Bursa Malaysia Securities Berhad Main on its takeover offer and privatisation of another public listed company involved in the manufacturing and packaged food segment by way of a members’ scheme of arrangement pursuant to Section 366 of the Companies Act 2016, for a total consideration of approximately RM488 million
- Advised an F&B and consumer goods group listed on the Main Market of Bursa Malaysia Securities Berhad Main on its acquisition of the entire equity interest in a group of companies engaged in the manufacturing of food products as well as the wholesale, export and distribution of sundry goods, for a total consideration of RM60 million
- Advised an integrated electrical power technology group listed on the Main Market of Bursa Malaysia Securities Berhad on its ESOS and restricted issue of 1.33 billion new shares to a strategic investor for a total consideration of approximately RM160 million
- Advised a digital media holding company listed on the ACE Market of Bursa Malaysia Securities Berhad on its corporate regularisation plan (involving the acquisition of a digital media group, an exemption from the Securities Commission Malaysia from the obligation to undertake a mandatory takeover offer, and a rights issue), special issue, rights issue with warrants, LTIP and a series of acquisitions with a total consideration exceeding RM100 million
- Advised a property developer group listed on the Main Market of Bursa Malaysia Securities Berhad on its subscription of a 51% equity interest and subsequent acquisition of a 33% equity interest in a company developing a high-rise residential project in Bangsar, Kuala Lumpur, for a total consideration of approximately RM80 million
- Advised an agricultural and industrial chemicals manufacturer listed on the Main Market of Bursa Malaysia Securities Berhad on its acquisition of a 70% equity interest in a company engaged in the blending and trading of chemicals, colours and related products, for a total consideration of RM14 million
- Advised an F&B and consumer goods group listed on the Main Board of the Singapore Stock Exchange on its acquisition of the entire equity interest in a company operating vending machines selling consumable products and its subsidiary engaged in the rental, maintenance and manpower supply services for vending machines, for a total consideration of RM11 million
